Distance Sales Agreement

1. Parties and Formation

This agreement is formed electronically between WhyNex (“Seller/Provider”) and the person or entity identified during ordering (“Buyer”). Current Seller details appear on the contact page; Buyer details are those entered during ordering and payment.

2. Subject

The agreement covers subscriptions, software, development, hosting, maintenance, support, or other digital services ordered by the Buyer and the parties’ rights and duties under applicable consumer and distance-contract laws.

3. Service, Price, and Payment

Service features, total price, taxes, payment method, term, renewal, and additional fees are shown before purchase in the order summary, proposal, or specific agreement. The Provider need not begin until payment is approved.

4. Performance and Delivery

Performance occurs by opening an account, supplying digital content, or making custom work available in the agreed environment. In cases of force majeure, third-party failure, or delayed Buyer information and approval, the Provider may notify the Buyer and request a reasonable extension.

5. Buyer Obligations

• Provide accurate, current, and sufficient information.
• Keep credentials secure and report unauthorized use.
• Use the service lawfully and respect the agreement and third-party rights.
• Pay fees on time and review deliveries within a reasonable period.

6. Right of Withdrawal

A Buyer acting as a consumer generally has 14 days from formation to withdraw without giving a reason. Notice must be sent in writing before the period expires.

Where services begin before that period with the Buyer’s express request, or digital content is performed immediately, withdrawal may be unavailable once the statutory conditions are met.

7. Intellectual Property

Unless agreed otherwise in writing, the code, infrastructure, and intellectual property of subscription software belong to WhyNex or its licensors. The Buyer receives a non-transferable right of use for the contract term. Buyer data remains the Buyer’s. Source-code delivery or assignment of rights requires an express written agreement.

8. Defective Service and Liability

If the service does not meet agreed qualities, the Buyer may use mandatory legal remedies. After reviewing the issue, the Provider may apply correction, repeat performance, price reduction, or a refund where its conditions are met.

9. Data, Disputes, and Effect

Personal data is processed under the Privacy Policy and applicable law. Consumers may apply to the competent consumer arbitration committee or consumer court, subject to current jurisdictional limits.

The agreement takes effect when the Buyer electronically accepts the pre-contract information and this text. The order summary, pre-contract disclosure, and any specific proposal form an integral part of it.
